Scope

These Terms of Sale (“Terms”) govern all sales of products and services (“Products”) by Omnia Semi, including but not limited to EEPROM modules, microwave transistors, DC-DC converters, CMOS RAM, and VPX boards.

Purchase Orders

All orders must be confirmed in writing. Omnia Semi reserves the right to accept or reject any order. A confirmed order constitutes a binding agreement subject to these Terms.

Pricing and Payment

Prices are in U.S. Dollars unless otherwise specified. Payment terms are Net 30 from the date of invoice unless otherwise agreed in writing. Late payments may incur a 1.5% monthly interest charge.

Delivery & Leadtimes

Estimated delivery dates are provided at the time of order and are subject to change. Omnia Semi is not responsible for delays due to carrier issues, component shortages, or force majeure events.

Title and Risk of Loss

Title and risk of loss pass to the buyer upon shipment from Omnia Semi’s designated shipping point.

Product Acceptance

Products shall be deemed accepted upon delivery unless written notice of defect or non-conformance is received within ten (10) business days.

Returns and Cancellations

All returns must be pre-authorized. A restocking fee may apply. Custom orders are non-cancellable and non-returnable (NCNR) unless agreed in writing.

Limited Warranty

Omnia Semi warrants that all Products are free from material defects for a period of ninety (90) days from shipment. This warranty does not apply to misuse, improper handling, or unauthorized modifications.

Disclaimer of Liability

Omnia Semi shall not be liable for indirect, incidental, or consequential damages arising from the use or inability to use Products. Maximum liability shall not exceed the purchase price paid.

Export Compliance

Buyer agrees to comply with all applicable U.S. export control laws and regulations. Products may not be exported, re-exported, or transferred to any embargoed country or prohibited end-user.

Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Entire Agreement

These Terms, along with any written agreement or order confirmation, constitute the entire agreement between the parties.

Changes and Contact

By placing an order with Omnia Semi, the buyer acknowledges and agrees to these Terms of Sale. Omnia Semi reserves the right to update or modify these Terms at any time without prior notice. The latest version will always be available at omniasemi.com/terms-of-sale.
